DIRITTI DI ASSEGNAZIONE DEI "WARRANT MEGLIOQUESTO 2021-25" ("GETOCOLLECT MEGLIOQUESTO")

RISULTATI DEL NONO PERIODO DI ESERCIZIO DEI DIRITTI GETOCOLLECT (APRILE 2022)

TERMINE ULTIMO PER L'ESERCIZIO (31 MAGGIO 2022)

MeglioQuesto (1CALL:IM), tra i principali operatori italiani del settore della customer experience multicanale, comunica che si è concluso il Nono Periodo di Esercizio dei Diritti di Assegnazione dei "Warrant MeglioQuesto 2021-2025" denominati "GeToCollect MeglioQuesto" ("Diritti"), ricompreso, tra il 1° aprile 2022 e il 30 aprile 2022 inclusi.

Nel corso di detto periodo, sono stati esercitati n. 1.939.998 Diritti e conseguentemente assegnati a titolo gratuito, sulla base del Rapporto di Conversione relativo al mese di aprile pari a 0,2449 n. 475.105 Warrant MeglioQuesto 2021-2025, aventi godimento regolare e le medesime caratteristiche dei Warrant già in circolazione.

In conseguenza di quanto sopra indicato, alla data attuale risultano quindi in circolazione:

• n. 10.131.335 Warrant MeglioQuesto 2021-2025 (ISIN IT0005450207 Ticker W1CALL)
• n. 5.189.002 Diritti di Assegnazione di "Warrant MeglioQuesto 2021-2025" (ISIN IT0005450199 Ticker GTCALL)

Si ricorda che i Diritti di Assegnazione non esercitati entro il Termine Ultimo per l'Esercizio (31 maggio 2022) perderanno automaticamente e definitivamente di validità.

In considerazione di quanto sopra e, tenuto conto del Termine Ultimo per l'Esercizio, si sensi del Regolamento di Borsa Italiana S.p.A. si prevede che il prossimo 26 maggio 2022 possa essere l'ultimo giorno di negoziazione dei Diritti di Assegnazione.

L'emissione e la messa a disposizione per la negoziazione, per il tramite di Monte Titoli S.p.A., dei Warrant da assegnarsi ai titolari dei Diritti di Assegnazione durante il Periodo di Esercizio in oggetto (i.e. maggio 2022) avranno luogo il giorno di liquidazione successivo al termine dell'ultimo giorno del medesimo Periodo di Esercizio (i.e. 1 giugno 2022).

Nell'occasione, si ricorda che, a coloro che hanno sottoscritto azioni rivenienti dall'aumento di capitale (ivi incluse le azioni in sovra-allocazione), in sede di IPO sono stati emessi ed assegnati gratuitamente:

• a) n. 1 "warrant MeglioQuesto 2021-2025" ogni n. 2 azioni ordinarie;
• b) n. 1 Diritto di Assegnazione (c.d. "GeToCollect") per ogni n. 1 azione ordinaria.

In aggiunta a ciò:

• le Azioni incorporano il diritto a ricevere n. 1 ulteriore warrant ogni n. 15 azioni possedute, i quali circoleranno con le medesime azioni sino ad una data di stacco, da fissarsi a cura del Consiglio di Amministrazione, compatibile con il calendario di Borsa Italiana, che cadrà nel mese di maggio 2022 e che sarà debitamente comunicata dalla Società. A tale data, detti warrant saranno emessi, assegnati gratuitamente e inizieranno ad essere negoziati su Euronext Growth Milan separatamente dalle Azioni, identificati dal medesimo codice ISIN e del tutto fungibili con i Warrant MeglioQuesto 2021-2025";
• coloro che sono diventati azionisti della Società nell'ambito del Collocamento e che deterranno tali Azioni per un periodo ininterrotto di 12 mesi dalla data di inizio delle negoziazioni, avranno diritto all'assegnazione

gratuita di Azioni Ordinarie della Società di nuova emissione a titolo di premio (cd. Bonus Share) nella misura di n. 1 Bonus Share ogni n. 10 Azioni.

ALLOTMENT RIGHTS FOR "MEGLIOQUESTO 2021-2025 WARRANTS" ("GETOCOLLECT MEGLIOQUESTO")

RESULTS OF THE 9TH EXERCISE PERIOD FOR GETOCOLLECT RIGHTS (APRIL 2022)

LAST DAY OF EXERCISE PERIOD (31 MAY 2022)

MeglioQuesto (1CALL:IM), an Italian leader in the multi-channel customer experience sector, announced the end of the 9th Exercise Period for the Allotment Rights for the "MeglioQuesto 2021-2025 Warrants", named "GeToCollect MeglioQuesto" ("Rights"), running from 1 April 2022 through 30 April 2022.

During said period, 1.939.998 Rights were exercised and, therefore, 475.105 MeglioQuesto 2021-2025 Warrants were allotted for free based on the Conversion Ratio for April, i.e., 0,2449. The Warrants have a regular dividend and the same characteristics as the Warrants already outstanding.

As a result of the above, as of today, the following are outstanding:

• 10.131.335 MeglioQuesto 2021-2025 Warrants (ISIN IT0005450207 Ticker W1CALL);
• 5.189.002 Allotment Rights for "MeglioQuesto 2021-2025 Warrants" (ISIN IT0005450199 Ticker GTCALL).

Please note that the Allotment Rights not exercised by the end of the Last Day of Exercise Period (31 May 2022) will automatically and definitively cease to be effective.

In consideration of the above and, taking account of the Last Day of Exercise Period, pursuant to Borsa Italiana S.p.A.'s Regulations, 26 May 2022 is expected to be the last day of trading for the Allotment Rights.

The Warrants to be allotted to the holders of Allotment Rights during the Exercise Period (i.e., May 2022) will be issued and made available for trading through Monte Titoli S.p.A. on the settlement day following the end of the last day of said Exercise Period (i.e., 1 June 2022).

Please note that the following were issued and allotted for free to those who subscribed for shares resulting from the capital increase (including over-allotment shares) during the IPO:

• a) 1 "MeglioQuesto 2021-2025 warrant" for every 2 ordinary shares;
• b) 1 Allotment Right ( "GeToCollect") for each ordinary share.

In addition:

• the Shares carry the right to receive 1 additional warrant for every 15 shares held, which will circulate with the shares until an ex-dividend date to be set by the Board of Directors, compatibly with the Italian Stock Exchange calendar. This will fall in May 2022 and will be duly communicated by the Company. On this date, the aforementioned warrants will be issued, allotted for free, and will start trading on Euronext Growth Milan separately from the Shares. They will be identified by the same ISIN code and will be fully interchangeable with the MeglioQuesto 2021-2025 warrants".
• Those who became shareholders of the Company in the context of the Placement and will hold said Shares for an uninterrupted period of 12 months from the initial date of trading, shall be entitled to the free allocation of newly issued Ordinary Shares in the Company (so-called Bonus Shares), with 1 Bonus Share for every 10 Shares.
