MEGLIOQUESTO: ASSEGNATI GRATUITAMENTE N. 3.405.712 "WARRANT MEGLIOQUESTO 2021-2025"

MeglioQuesto (1CALL:IM), tra i principali operatori italiani del settore della customer experience multicanale, facendo seguito a quanto comunicato in data 7 maggio u.s., comunica che sono stati assegnati gratuitamente n. 3.405.712 "Warrant MeglioQuesto 2021-2025", in ragione di n. 1 warrant ogni n. 15 azioni possedute, a valere sulle n. 51.086.085 azioni ordinarie (senza considerare le n. 1.234.915 azioni proprie detenute dalla Società).

Tali warrant sono negoziati su Euronext Growth Milan, identificati dal medesimo codice ISIN (IT0005450207) e del tutto fungibili con i "Warrant MeglioQuesto 2021-2025".

Alla data odierna risultano quindi in circolazione n. 13.537.047 "Warrant MeglioQuesto 2021-2025".

A tal proposito si ricorda che nel corso del Primo Periodo di Esercizio dei Warrant, ricompreso tra il 13 giugno 2022 e il 24 giugno 2022 (estremi inclusi), i portatori dei Warrant avranno la facoltà di sottoscrivere le Azioni di Compendio, nel rapporto di n. 1 Azione di Compendio per n. 1 Warrant posseduto (il "Rapporto di Esercizio"), ad un Prezzo di Esercizio pari a Euro 1,54.

MEGLIOQUESTO: AWARDED FREE OF CHARGE No. 3,405,712 "WARRANT MEGLIOQUESTO 2021-2025"

MeglioQuesto (1CALL: IM), one of the main italian operators in the multichannel customer experience sector, following what was communicated on May 7, announces that no. 3,405,712 "Warrant MeglioQuesto 2021-2025" have been awarded free of charge, at the rate of no. 1 warrant for every n. 15 shares owned, out of the n. 51,086,085 ordinary shares (without considering the 1,234,915 treasury shares held by the Company).

These warrants are negotiated on Euronext Growth Milan, identified by the same ISIN code (IT0005450207) and fully fungible with the "MeglioQuesto 2021-2025 Warrants".

As of today, there are therefore no. 13,537,047 "Warrants MeglioQuesto 2021-2025".

In this regard, it should be noted that during the First Exercise Period of the Warrants, included between 13 June 2022 and 24 June 2022 (inclusive), the holders of the Warrants will have the right to subscribe the Conversion Shares, in the ratio of no. 1 Conversion Share for n. 1 Warrant owned (the "Exercise Ratio"), at an Exercise Price of Euro 1.54.
