MeglioQuesto (1CALL:IM), Phygital Analytic Company operante nel settore della customer experience, comunica che si è concluso il primo periodo di esercizio dei "Warrant MeglioQuesto 2021-2025", codice ISIN IT0005450207, compreso tra il 13 giugno 2022 e il 24 giugno 2022, termini iniziale e finale compresi (il "Primo Periodo di Esercizio").

Nel corso di detto periodo, sono stati esercitati n. 5.374.885 Warrant e conseguentemente sottoscritte al prezzo di Euro 1,540 per azione (nel rapporto di n. 1 azione ordinaria ogni n. 1 Warrant esercitato) n. 5.374.885 Azioni ordinarie MeglioQuesto di nuova emissione, prive dell'indicazione del valore nominale, aventi godimento regolare e le medesime caratteristiche delle azioni ordinarie MeglioQuesto in circolazione alla data di emissione (le "Azioni di Compendio"), per un controvalore complessivo pari a Euro 8.277.322,90.

Ai sensi del Regolamento dei "Warrant MeglioQuesto 2021-2025", l'emissione e la messa a disposizione per la negoziazione, per il tramite di Monte Titoli S.p.A., delle Azioni di Compendio sottoscritte dai titolari di Warrant durante il Primo Periodo di Esercizio avranno luogo il giorno di liquidazione successivo al termine dell'ultimo giorno del Primo Periodo di Esercizio.

La Società provvederà a pubblicare il comunicato di variazione del capitale sociale a seguito del deposito di avvenuta esecuzione dell'aumento di capitale presso il Registro delle Imprese di Milano nei termini di legge. Ad esito del Primo Periodo di Esercizio permangono in circolazione n. 9.385.537 Warrant.

FIRST EXERCISE PERIOD RESULTS "MEGLIOQUESTO WARRANTS 2021-2025":

OVER 8 MILLION IN CAPITAL FOR THE GROUP GROWTH

MeglioQuesto (1CALL: IM), Phygital Analytic Company operating in the customer experience sector, announces the end of the first exercise period of "MeglioQuesto 2021-2025 Warrants", ISIN code IT0005450207, which lasted between 13 June 2022 and 24 June 2022, initial and final days included (the "First Exercise Period").

During this period, no. 5,374,885 Warrants were exercised at the price of Euro 1.540 per share (in the ratio of 1 ordinary share for each 1 Warrant exercised) and consequently no. 5,374,885 new MeglioQuesto ordinary shares were issued, with no indication of par value, with regular entitlement and the same characteristics as MeglioQuesto ordinary shares in circulation at the issue date (the "Conversion Shares"), for a total value equal to Euro 8,277,322.90.

Pursuant to the Regulation of the "MeglioQuesto 2021-2025 Warrants", the issue and first availablility for trading, through Monte Titoli S.p.A. of the Conversion Shares, subscribed by the holders of the Warrants during the First Exercise Period, will take place the settlement day following the end of the last day of the First Exercise Period.

The Company will publish the notice of change in the share capital following the filing of the execution of the capital increase at the Milan Company Register within the terms of the law. At the end of the First Exercise Period n. 9,385,537 Warrants remain.
