MEGLIOQUESTO EXERCISES THE FIRST CALL OPTION ON 16.33% OF THE REMAINING SHARE CAPITAL OF MEGLIOQUESTO HUMAN SRL
RESIGNATION OF THE INDEPENDENT DIRECTOR VINCENZO DISPINZERI

MeglioQuesto (MQSPA: IM), a phygital marketplace that offers services and products through an integrated platform between physical and digital channels, following what was communicated on December 27, 2021 and December 29, 2021, announces that yesterday evening, pursuant to the Shareholders' Agreement referred to in the Sale and Purchase Agreement of December 27, 2021, the exercise of the First Call Option was finalized for the purchase from the Minority Shareholder OMGroup S.p.A. of 16.33% corresponding to the first 1/3 of the 49% of the share capital held by this in the company MQ Human s.r.l. against the price of Eur 2,300,000, in cash. As a result, MeglioQuesto will hold a stake equal to 67.33% of the capital of MeglioQuesto Human s.r.l..
Furthermore, the Company communicates that the independent director Mr. Vincenzo Dispinzeri resigned yesterday evening, with effect from the same date, June 1 2023. The reasons have not been disclosed to the company. Mr. Dispinzeri had assumed the position of independent director of the Company on June 16 2021 and his independence was positively assessed by Euronext Growth Advisor, pursuant to art. 6-bis of the Euronext Growth Milan Issuers' Regulation.
The Company thanks Mr. Dispinzeri for his commitment and contribution as a member of the Board of Directors.
Based on the communications made to the Company and to the public, Mr. Dispinzeri does not currently hold ordinary shares of Meglio Questo S.p.A., either directly or indirectly. He is not entitled to indemnities or other benefits resulting from the termination of his office.
The Board of Directors, having assumed the resignation of the independent director Mr. Dispinzeri, is made up of five members, one of whom is independent and will work to activate the procedure to be submitted to Euronext Growth Advisor ("EGA") for the request to identify or evaluate the director with express declaration of independence pursuant to art. 6-bis of the Euronext Growth Milan Issuers' Regulation ("EGM").
