ADEMPIMENTI DEL CONSIGLIO DI AMMINISTRAZIONE AI SENSI DEGLI ARTT. 2343-QUATER E 2444 DEL CODICE CIVILE

MeglioQuesto (1CALL:IM) ("MeglioQuesto" o "Emittente" o "Società"), Phygital Analytic Company tra i principali operatori italiani della customer experience, facendo seguito ai comunicati del 25 novembre u.s. e 27 dicembre u.s., rende noto che, con riferimento all'aumento di capitale sociale a pagamento per un importo complessivo, comprensivo di sovrapprezzo, di Euro 5.148.998,40, da liberarsi mediante conferimento in natura, a mezzo dell'emissione di complessive n. 1.072.708 azioni ordinarie prive di indicazione del valore nominale espresso (le "Azioni di Nuova Emissione") al prezzo di sottoscrizione di Euro 4,80 cadauna (il "Prezzo di Sottoscrizione"), di aver completato le attività di verifica previste dagli artt. 2343-quater e 2444 del codice civile.

Si rammenta che la nuova emissione è stata realizzata mediante il conferimento delle partecipazioni detenute dai sig.ri Pierluigi Ghiani e Francesco Simula in MeglioQuesto Digital s.r.l. ("MQ Digital"), pari al 24,50% per ciascuno, rappresentanti complessivamente il 49% del capitale sociale di MQ Digital (la "Partecipazione") ed in conformità agli articoli 2343-ter, comma 2, lettera b) e 2440, comma 6, del codice civile.

Alla data odierna non è pervenuta alla Società alcuna richiesta – ai sensi dell'articolo 2440, comma 6 del codice civile – di una nuova valutazione ai sensi e per gli effetti dell'art. 2343 del codice civile.

Il Consiglio di Amministrazione della Società ha pertanto provveduto ad espletare le attività previste dagli artt. 2343-quater e 2444 del codice civile rendendo, in particolare, le dichiarazioni ai sensi della normativa applicabile.

Si precisa che le Azioni di Nuova Emissione sono soggette ai dovuti vincoli di indisponibilità sino all'intervenuta iscrizione nel competente Registro delle Imprese della dichiarazione e delle attestazioni previste dagli artt. 2343-quater, comma 3, e 2444 del codice civile. Le Azioni di Nuova Emissione saranno emesse una volta intervenuta l'iscrizione della dichiarazione al competente Registro delle Imprese.

Si ricorda, infine, che i signori Pierluigi Ghiani e Francesco Simula hanno assunto un impegno di lock-up sulle Azioni di Nuova Emissione sino al 24° mese successivo all'emissione delle Azioni.

DUTIES CARRIED OUT BY THE BOARD OF DIRECTORS PURSUANT TO ARTS. 2343-QUATER AND 2444 OF THE CIVIL CODE

MeglioQuesto (1CALL:IM) ("MeglioQuesto" or "Issuer" or "Company"), Phygital Analytic Company among the leading operators in the customer experience industry in the Italian market, following the November 25th and December 27th press releases, announces to have completed the verification activities required by articles 2343-quater and 2444 of the civil code with reference to the paid share capital increase for a total amount, including the share premium, of Euro 5,148,998.40, to be released by contribution in kind, through the issue of total no. 1,072,708 ordinary shares with no indication of nominal value (the "Newly Issued Shares") at the subscription price of Euro 4.80 each (the "Subscription Price").

Such new shares issue was carried out through the contribution of the equity investments held by Messrs. Pierluigi Ghiani and Francesco Simula in Meglio Questo Digital s.r.l. ("MQ Digital"), equal to 24.50% for each, representing a total of 49% of the share capital of MQ Digital (the "Share") and in compliance with articles 2343-ter, paragraph 2, letter b) and 2440 , paragraph 6, of the civil code.

To date, the Company has not received any request - pursuant to article 2440, paragraph 6 of the civil code for a new valuation pursuant to and by effect of art. 2343 of the civil code.

The Company's Board of Directors has therefore taken steps to carry out the activities envisaged by articles 2343-quater and 2444 of the civil code, making, in particular, the declarations according to the applicable legislation.

As a reminder, the Newly Issued Shares are subject to the constraints of unavailability until the registration in the appropriate Company Register of the declaration and the certifications required by articles 2343-quater, paragraph 3, and 2444 of the civil code. The Newly Issued Shares will be issued once the declaration has been filed with the appropriate Company Register.

Messrs. Pierluigi Ghiani and Francesco Simula have undertaken a lock-up commitment on the Newly Issued Shares until the 24th month following the issue of such Shares.
