DIRITTI DI ASSEGNAZIONE DEI "WARRANT MEGLIOQUESTO 2021-25" ("GETOCOLLECT MEGLIOQUESTO")

COMUNICAZIONE DEL RAPPORTO DI ASSEGNAZIONE PER L'OTTAVO PERIODO DI ESERCIZIO (1 – 31 MARZO 2022)

MeglioQuesto S.p.A. (1CALL:IM), tra i principali operatori italiani del settore della customer experience multicanale, rende noto che, ai sensi dell'articolo 3 del Regolamento dei Diritti di Assegnazione dei "Warrant MeglioQuesto 2021-2025" denominati "GeToCollect MeglioQuesto" (rispettivamente, il "Regolamento" e i "Diritti"), il Prezzo Medio Mensile delle azioni ordinarie MeglioQuesto S.p.A. per il mese di febbraio 2022 è pari ad Euro 3,277 (calcolato come media aritmetica dei Prezzi Ufficiali Giornalieri dei giorni di borsa aperta nel mese di febbraio).

Pertanto, essendo il Prezzo Strike pari a Euro 1,40 e il Prezzo Soglia pari a Euro 5,60, il Rapporto di Assegnazione¹ per il mese di Marzo 2022 è pari a 0,3351.

A titolo esemplificativo a coloro che eserciteranno 1.000 Diritti di Assegnazione verranno attribuiti gratuitamente e senza costi aggiuntivi 335 Warrant. L'ultimo prezzo ufficiale del Warrant alla data del presente documento risulta essere Euro 1,01.

Nei casi in cui all'atto dell'esercizio dei Diritti spettasse un numero non intero di Warrant, il portatore dei Diritti avrà diritto di ottenere Warrant fino alla concorrenza del numero intero immediatamente inferiore.

Le richieste di assegnazione dei Warrant potranno essere effettuate in qualsiasi Giorno di Borsa Aperta compreso nel mese di marzo 2022 e dovranno essere presentate all'intermediario aderente a Monte Titoli S.p.A. presso cui sono depositati i Warrant. I predetti Warrant saranno identificati dal medesimo Codice ISIN e del tutto fungibili con i Warrant già in circolazione alla data odierna.

L'emissione e la messa a disposizione per la negoziazione, per il tramite di Monte Titoli S.p.A., dei Warrant da assegnarsi ai titolari dei Diritti di Assegnazione durante il Periodo di Esercizio in oggetto (i.e. marzo 2022) avranno luogo il giorno di liquidazione successivo al termine dell'ultimo giorno del medesimo Periodo di Esercizio.

ALLOTMENT RIGHTS FOR "MEGLIOQUESTO 2021-25 WARRANTS" ("GETOCOLLECT MEGLIOQUESTO")

DISCLOSURE OF THE ALLOTMENT RATIO FOR THE 8TH EXERCISE PERIOD (1 – 31 MARCH 2022)

MeglioQuesto S.p.A. (1CALL:IM), an Italian leader in the multi-channel customer experience sector, announced that, pursuant to article 3 of the Rules for the Allotment Rights for the "MeglioQuesto 2021-2025 Warrants" named "GeToCollect MeglioQuesto" (the "Rules" and the "Rights", respectively), the Average Monthly Price of Meglioquesto S.p.A. ordinary shares for the month of February 2022 is Euro 3,277 (calculated as the average of the Official Closing Prices on trading days during the month of February).

Therefore, as the Strike Price is Euro 1.40 and the Threshold Price is Euro 5.60, the Allotment Ratio¹ for the month of March 2022 is 0,3351.

For example, those exercising 1,000 Allotment Rights will receive 335 Warrants for free and at no additional cost. The latest official price of the Warrant at the date of this document was Euro 1,01.

Where a fractional number of Warrants is due upon exercising the Rights, the holder shall be entitled to receive a number of Warrants rounded down to the nearest whole number.

The requests for the allotment of Warrants may be submitted on any Trading Day during the month of March 2022 to the intermediary that is a member of Monte Titoli S.p.A., where the Warrants are held. Said Warrants will be identified by the ISIN Code and fully interchangeable with the Warrants already outstanding today.

The Warrants to be allotted to the holders of Allotment Rights during the Exercise Period concerned (i.e., March 2022) will be issued and made available for trading through Monte Titoli S.p.A. on the settlement day following the end of the last day of said Exercise Period.
