DIRITTI DI ASSEGNAZIONE DEI "WARRANT MEGLIOQUESTO 2021-25" ("GETOCOLLECT MEGLIOQUESTO")

COMUNICAZIONE DEL RAPPORTO DI ASSEGNAZIONE PER IL DECIMO E ULTIMO PERIODO DI ESERCIZIO (1 – 31 MAGGIO 2022)

MeglioQuesto S.p.A. (1CALL:IM), tra i principali operatori italiani del settore della customer experience multicanale, rende noto che, ai sensi dell'articolo 3 del Regolamento dei Diritti di Assegnazione dei "Warrant MeglioQuesto 2021-2025" denominati "GeToCollect MeglioQuesto" (rispettivamente, il "Regolamento" e i "Diritti"), il Prezzo Medio Mensile delle azioni ordinarie MeglioQuesto S.p.A. per il mese di aprile 2022 è pari ad Euro 2,861 (calcolato come media aritmetica dei Prezzi Ufficiali Giornalieri dei giorni di borsa aperta nel mese di aprile).

Pertanto, essendo il Prezzo Strike pari a Euro 1,40 e il Prezzo Soglia pari a Euro 5,60, il Rapporto di Assegnazione¹ per il mese di Maggio 2022 (Decimo e Ultimo Periodo di Esercizio) è pari a 0,2610.

A titolo esemplificativo a coloro che eserciteranno 1.000 Diritti di Assegnazione verranno attribuiti gratuitamente e senza costi aggiuntivi 261 Warrant. L'ultimo prezzo ufficiale del Warrant alla data del presente documento risulta essere 0,93 Euro.

Nei casi in cui all'atto dell'esercizio dei Diritti spettasse un numero non intero di Warrant, il portatore dei Diritti avrà diritto di ottenere Warrant fino alla concorrenza del numero intero immediatamente inferiore.

Le richieste di assegnazione dei Warrant potranno essere effettuate in qualsiasi Giorno di Borsa Aperta compreso nel mese di maggio 2022 e dovranno essere presentate all'intermediario aderente a Monte Titoli S.p.A. presso cui sono depositati i Warrant. I predetti Warrant saranno identificati dal medesimo Codice ISIN e del tutto fungibili con i Warrant già in circolazione alla data odierna.

L'emissione e la messa a disposizione per la negoziazione, per il tramite di Monte Titoli S.p.A., dei Warrant da assegnarsi ai titolari dei Diritti di Assegnazione durante il Periodo di Esercizio in oggetto (i.e. maggio 2022) avranno luogo il giorno di liquidazione successivo al termine dell'ultimo giorno del medesimo Periodo di Esercizio.

Si ricorda che i Diritti di Assegnazione non esercitati entro il Termine Ultimo per l'Esercizio (31 maggio 2022) perderanno automaticamente e definitivamente di validità.

RIGHTS TO ASSIGN "WARRANTS MEGLIOQUESTO 2021-25" ("GETOCOLLECT MEGLIOQUESTO")

COMMUNICATION OF THE ALLOCATION REPORT FOR THE TENTH AND LAST OPERATING PERIOD (1 - 31 MAY 2022)

MeglioQuesto S.p.A. (1CALL: IM), one of the main Italian operators in the multichannel customer experience sector, announces that, pursuant to Article 3 of the Rules of Assignment Rights of the "MeglioQuesto 2021- 2025 Warrants" called "GeToCollect MeglioQuesto" (respectively, the "Regulations" and the "Rights"), the Average Monthly Price of the ordinary shares of MeglioQuesto S.p.A. for the month of April 2022 it is equal to Euro 2,861 (calculated as the arithmetic average of the Official Daily Prices of the trading days open in the month of April).

Therefore, since the Strike Price equal to Euro 1.40 and the Threshold Price equal to Euro 5.60, the Allocation Ratio for the month of May 2022 (Tenth and Last Exercise Period) is equal to 0.2610.

By way of example, 261 Warrants will be assigned free of charge and at no additional cost to those who exercise 1,000 Rights of Assignment. The last official price of the Warrant at the date of this document is 0.93 Euros.

In cases where a non-integer number of Warrants is due upon exercise of the Rights, the holder of the Rights will be entitled to obtain Warrants up to the amount of the immediately lower whole number.

Requests for the assignment of the Warrants may be made on any Open Stock Exchange Day including the month of May 2022 and must be submitted to the intermediary adhering to Monte Titoli S.p.A. where the Warrants are deposited. The aforementioned Warrants will be identified by the same ISIN Code and fully fungible with the Warrants already in circulation as of today.

The issue and making available for trading, through Monte Titoli S.p.A., of the Warrants to be assigned to the holders of the Assignment Rights during the Exercise Period in question (i.e. May 2022) will take place on the settlement day following the end of the last day of the same Exercise Period.

Please note that the Assignment Rights not exercised by the Final Term for the Exercise (May 31, 2022) will automatically and permanently lose their validity.
