FREE ASSIGNMENT OF MAXIMUM 3.405.739 "WARRANT MEGLIOQUESTO 2021-2025"
SCHEDULED FOR MAY 16 THE EX-DIVIDEND DATE
Milan, 7 th May 2022
The Board of Directors MeglioQuesto (1CALL:IM), Phygital Analytic Company operating in the customer experience sector, which met on 6 May 2022 under the chairmanship of Jaime Torrents, determined on May 16th the ex-dividend date (coupon no. 1) of no. 1 "Warrant MeglioQuesto 2021-2025" for every 15 shares held.
In view of the above, a maximum of 3,405,739 Warrants will be issued on the 51,086,085 ordinary shares (without considering the 1,234,915 treasury shares held by the Company); therefore, the number of Warrants in circulation will amount to a maximum of 13,537,074. The warrants resulting from this resolution will be assigned free of charge and will be traded on Euronext Growth Milan, identified by the same ISIN code (IT0005450207) and will be completely fungible with the "MeglioQuesto 2021-2025 Warrants".
In this regard, it is recalled that during the First Period of Exercise of the Warrants, included between June 13th 2022 and June 24th 2022 (including extremes), the holders of the Warrants will have the right to subscribe to the Compendium Shares, in the ratio of 1 Compendium Share for n. 1 Warrant held (the "Annual Report"), at an Exercise Price of Euro 1,54.
Furthermore, is recalled the Assignment Rights (ISIN IT0005450199 - Ticker GTCALL) not exercised within the Deadline for the Year (May 31, 2022) will automatically and definitively lose their validity.
Following the conclusion of the ninth period (April 2022) of the rights to Assign the "MeglioQuesto Warrants" called "GeToCollect MeglioQuesto", as announced on May 2, 2022:
- n. 10.131.335 Warrant MeglioQuesto 2021-2025 (ISIN IT0005450207 Ticker W1CALL)
- n. 5.189.002 Assignment Rights of "Warrant MeglioQuesto 2021-2025" (ISIN IT0005450199 Ticker GTCALL).
In view of this and considering the Deadline for the Year, pursuant to the Regulations of Borsa Italiana S.p.A., remember the next May 26, 2022, is the last trading day of the Assignment Rights.
The issuance and making available for trading, through Monte Titoli S.p.A., of the Warrants to be assigned to the holders of the Assignment Rights during the Financial Year in question (i.e., May 2022) will take place on the day of liquidation following the end of the last day of the same Exercise Period (i.e., June 1, 2022).
