Report Content Recommendation of the Remuneration and Nomination Committee of theSupervisory Board regarding a candidate for President of the ManagementBoard of mBank S.A.

mBank S.A. announces that on 26 April 2024, the Remuneration andNomination Committee recommended to the Supervisory Board Cezary Kocikas a candidate for President of the Management Board of mBank S.A. TheSupervisory Board accepted the Committee's recommendation. Theappointment of Cezary Kocik as President of the Management Board ofmBank S.A. by the Supervisory Board is subject to a positive outcome ofthe suitability assessment and consent of the Polish FinancialSupervision Authority (KNF). The new President of the Management Boardwill take over after the current President of the Management Board,Cezary Stypułkowski, steps down.

The above decision was made as a result of the process of succession andselection of a candidate for the position of President of the ManagementBoard conducted by the Remuneration and Nomination Committee incooperation with the whole Supervisory Board.

Cezary Kocik joined mBank Group in 2004. He has gained experience inCorporate and Investment Banking, Retail Banking, and Risk. He hasserved as Vice-President of the Management Board, Head of Retail Bankingat mBank S.A. since 2012.
