DECREASE OF THE SHARE CAPITAL OF KERNEL HOLDING S.A.

Kernel Holding S.A., a société anonyme, incorporated and existing under the laws of the Grand Duchy of Luxembourg, having its registered office at 9, rue de Bitbourg, L-1273 Luxembourg, Grand Duchy of Luxembourg, and registered with the Luxembourg Trade and Companies' Register under number B 109173 (the "Company"), wishes to notify of a decrease of its share capital by an amount of USD 174,332.41, resulting from the cancellation of 6,602,000 shares (ISIN LU0327357389) of the Company which were held in treasury by the Company's wholly-owned subsidiary, Etrecom Investments Limited. This capital decrease was effected by the decision of the extraordinary general meeting of shareholders of the Company taken on 21 March 2024.

Subsequent to this share capital decrease, the Company's total share capital now amounts to USD 7,748,292.23. The share capital is divided into 293,429,230 shares (ISIN LU0327357389), without indication of a nominal value and entitling the holders thereof to one vote per share.

Legal grounds: Art. 17 of REGULATION (EU) No 596/2014 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
