COMPLETION OF THE DIVESTMENT OF FARMING ENTITIES

Referring to the current report of Kernel Holding S.A. (the "Company") No 23/2022 dated 26 April 2022 with regards to the divestment of farming entities (https://www.kernel.ua/wpcontent/uploads/2022/04/Current-report-23-2022-eng.pdf), the Company informs that all conditions required for the divestment of farming entities were fulfilled, including obtaining consents from some of the Company's creditors. Given that, on 03 March 2023 the Company completed the divestment of such farming entities.

Legal grounds: Legal grounds: Art. 17 of REGULATION (EU) No 596/2014 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
