UPDATE ON THE DELISTING PROCEEDINGS
Kernel Holding S.A., a Luxembourg-registered company (the "Company"), informs that the Company obtained the information from the Polish Financial Supervision Authority (the "PFSA") regarding suspension of the administrative proceedings on the delisting of the Company from the Warsaw Stock Exchange. Such decision was made on the basis of the ongoing proceedings initiated by the group of minority shareholders in the District Court in Luxembourg challenging the decision of the Board of Directors of the Company dated 13 April 2023 to delist the Company from the Warsaw Stock Exchange.
The PFSA will not issue the decision on granting permission to withdraw the Company's shares from trading on the regulated market until the District Court in Luxembourg has resolved the allegations raised in the claim mentioned in Current report no. 08/2024.
Legal grounds: Art. 17 of REGULATION (EU) No 596/2014 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
