In accordance with the provisions of Article 278 of the Companies Act (Official Gazette 111/93, 34/99, 121/99, 52/00, 118/03, 107/07, 146/08, 137/09, 125/11, 152/11, 111/12, 68/13, 110/15) hereby submit to the Management Board of the joint stock company JADRAN d.d. for Hotel Management and Tourism, Bana Jelačića 16, Crikvenica the following

Request for convening the Extraordinary General Assembly of the joint stock company JADRAN for Hotel Management and Tourism

To whom it may concern,

Following the Agreement on the sale and transfer of shares of the joint stock company JADRAN d.d., Crikvenica, concluded on 6 April 2018 between the Republic of Croatia represented by the Restructuring and Sale Centre (Transferors) and PBZ CROATIA OSIGURANJE d.d. for compulsory pension funds management, on its own behalf and for the account of: PBZ CROATIA OSIGURANJE Compulsory Pension Fund – category A and PBZ CROATIA OSIGURANJE Compulsory Pension Fund – category B; and ERSTE d.o.o. for compulsory pension funds management, on its own behalf and for the account of: ERSTE PLAVI COMPULSORY PENSION FUND CATEGORY B, ERSTE PLAVI COMPULSORY PENSION FUND CATEGORY A and Erste Plavi Expert - Voluntary Pension Fund (Transferees),

Based on which PBZ CROATIA OSIGURANJE Compulsory Pension Fund - category A, PBZ CROATIA OSIGURANJE Compulsory Pension Fund - category B, ERSTE PLAVI COMPULSORY PENSION FUND CATEGORY B, ERSTE PLAVI COMPULSORY PENSION FUND CATEGORY A and Erste Plavi Expert - Voluntary Pension Fund acquired a total of 70.74 % of the company JADRAN d.d., Crikvenica. In order to fulfil the obligation of recapitalisation within the deadline prescribed by Article 3 of the Agreement in question and pursuant to Article 278 of the Companies Act, we hereby request the convening of the Extraordinary General Assembly of the company JADRAN d.d., Crikvenica.

The agenda with the proposal of the Extraordinary General Assembly decisions is attached hereto.
