Notice is hereby given that the thirty first Annual General Meeting (“AGM”) of Mphasis Limited will be held at 9:00 am (IST) on Thursday, 21 July 2022, through Video Conferencing (“VC”) in compliance with General Circulars Nos.2/2022 and 19/2021,other Circulars issued by the Ministry of Corporate Affairs (MCA) and circular No. SEBI/HO/CFD/CMD2/CIR/P/2022/62 dated 13 May 2022 issued by the Securities and Exchange Board of India (SEBI) (hereinafter collectively referred to as “Circulars”), to transact the ordinary and special businesses contained in the Notice of the thirty first AGM (the “Notice”) together with the additional information in respect of the Directors seeking re-appointmentandappointment,andtheexplanatorystatementpursuanttotheCompaniesAct,2013.
