本鉴证报告仅供浙大网新公司年度报告披露时使用，不得用作任何其他目 的。我们同意将本鉴证报告作为浙大网新公司2015 年度报告的必备文件，随同 其他文件一起报送并对外披露。

关于浙大网新科技股份有限公司

2015 年度子公司业绩承诺实现情况的说明

金额单位：人民币万元 浙大网新科技股份有限公司（以下简称本公司）于2015 年度完成收购浙江网新电气技 术股份有限公司（现已更名为浙江网新电气技术有限公司，以下简称网新电气公司）72.00% 的股权、浙江网新信息科技有限公司（以下简称网新信息公司）100.00%的股权、浙江网新 恩普软件有限公司（以下简称网新恩普公司）24.47%的股权和杭州普吉投资管理有限公司 （以下简称普吉投资公司）78.26%的股权。根据中国证券监督管理委员会《上市公司重大 资产重组管理办法》（以下简称管理办法）的有关规定，现将2015 年度实际盈利数与业绩 承诺数的差异情况说明如下。

一、基本情况

经中国证券监督管理委员会《关于核准浙大网新科技股份有限公司向浙江浙大网新集 团有限公司等发行股份购买资产并募集配套资金的批复》（证监许可〔2015〕2485 号）核 准，本公司通过发行股份及支付现金方式购买网新电气公司72.00%的股权、网新信息公司 100.00%的股权、网新恩普公司24.47%的股权和普吉投资公司78.26%的股权，并募集配套 资金。

网新电气公司、网新信息公司、网新恩普公司和普吉投资公司原股东均已办妥产权过 户手续。

网新电气公司、网新信息公司、网新恩普公司和普吉投资公司分别于2015 年11 月20 日、2015 年11 月16 日、2015 年11 月25 日和2015 年11 月24 日办妥工商变更登记手续。 本公司向浙江浙大网新集团有限公司等增发的股票已于2015 年12 月28 日在中国证券登记 结算有限责任公司上海分公司完成股份登记托管手续。

二、承诺业绩情况

根据本公司分别与网新电气公司原股东浙江浙大网新集团有限公司以及陈根土、沈越 和张灿洪3 名自然人、网新信息公司原股东浙江浙大网新集团有限公司、网新恩普公司原 股东江正元等10 名自然人和普吉投资公司原股东江正元等44 名自然人签订的《发行股份

及支付现金购买资产协议》，网新电气公司上述原股东承诺网新电气公司2015 年度实现的 扣除非经常性损益后归属于母公司的净利润不低于2,000.00 万元、网新信息公司上述原 股东承诺网新信息公司2015 年度实现的扣除非经常性损益后归属于母公司的净利润不低 于1,000.00 万元、网新恩普公司、普吉投资公司（系网新恩普公司的员工持股平台，其 除持有网新恩普公司股权外无其他实质性业务，业绩承诺口径为网新恩普公司扣除非经常 性损益后归属于母公司的净利润）上述原股东承诺网新恩普公司2015 年度实现的扣除非 经常性损益后归属于母公司的净利润不低于3,300.00 万元。
