2 SHAREHOLDERS' MEETING 4th MARCH 2021
LA JUNTA DE ACCIONISTAS DE 4 DE MARZO DE 2021
- The purpose of our meeting today is to approve the share capital increase issue shares in part-payment of the acquisition of the business activity and assets of Scytl and Civiciti, including the subsidiaries in the USA, Canada, Australia, France and Greece.

These businesses were acquired on 3rd November 2020 and is the first step in Service Point's digital transformation and expansion.

El objetivo de nuestra Junta de Accionistas hoy es la aprobación de la ampliación de capital para el pago de parte del precio de adquisición del negocio y activos de Scytl y Civiciti, junto con sus filiales en EEUU, Canadá, Australia, Francia y Grecia.
- La adquisición de los negocios se llevó a cabo el día 3 de noviembre de 2020, y representa el primer paso en la transformación digital y expansión de Service Point.

4 THE ACQUISITION OF SCYTL'S BUSINESS

- The on-line voting sector represents an important opportunity for future growth, especially in light of the current pandemic.
- We have already detected an increase in interest in on-line voting solutions in both public and private sectors.

SPS and Paragon are working with Scytl's management team to develop a business plan based on growth and profitability.

El sector del voto on-line representa una oportunidad importante de crecimiento futuro, sobre todo en la situación actual de la pandemia.
- Se ha detectado un incremento en el interés en soluciones de voto on-line en los sectores públicos y privados.

5 SPS IN THE FUTURE EL FUTURO DE SPS
- Paragon, as majority shareholder of SPS, has defined a clear strategy for the listed company, consisting in using it as a global platform for growth and expansion into the data security, technology, cryptographic and on-line voting sectors.

As a result of this decision, SPS will shortly analyse the strategic fit of the traditional business units in Spain and Belgium and brand positioning.

Paragon, accionista de referencia de SPS, ha definido una clara estrategia para la compañía cotizada, utilizándola como plataforma global para el crecimiento y expansión en los sectores de seguridad de datos, tecnología, criptografía y voto on-line.
- Como consecuencia de esta decisión, en breve SPS analizará el encaje estratégico de las actividades tradicionales en España y Bélgica, así como el posicionamiento de la marca.

- SPS and Paragon are analysing new acquisition opportunities in the technology areas described.
- Paragon is a very active, but disciplined buyer: with a focus on technology, customers, growth potential and price.

SPS and Paragon will most likely follow a strategy of funding future acquisitions via capital increases in the market. This would allow the free float and liquidity of SPS to increase.

- Paragon es un comprador activo, pero disciplinado: con enfoque en la tecnología, clientes, potencial de crecimiento y precio.
