2012 年公司债券（第一期）票面利率公告

发行人及董事会全体成员保证公告内容的真实、准确和完整，对公告的虚假 记载、误导性陈述或者重大遗漏负连带责任。

国电电力发展股份有限公司（以下简称“发行人”）发行不超过 80 亿元公 司债券已获得中国证券监督管理委员会证监许可[2012] 756 号文核准，本次债券 分期发行，本期发行规模为人民币 40 亿元。

发行人和联席主承销商于 2012 年 6 月 14 日 13:00~15:00 在网下向机构投资 者进行了票面利率询价，根据网下向机构投资者询价簿记结果，经发行人和联席 主承销商充分协商和审慎判断，最终确定本期债券 5 年期品种票面利率为 4.35%， 7 年期品种票面利率为 4.75%。

发行人将按上述票面利率于 2012 年 6 月 15 日面向社会公众投资者网上公开 发行（5 年期品种网上发行代码为“751973”，简称为“12 国电 01”；7 年期品种网 上发行代码为“751974”，简称为“12 国电 02”），于 2012 年 6 月 15 日、2012 年 6 月 18 日及 2012 年 6 月 19 日面向机构投资者网下发行。具体认购方法请参见 2012 年 6 月 13 日刊登在《上海证券报》、《中国证券报》、《证券时报》和上 海证券交易所网站（www.sse.com.cn）上的《国电电力发展股份有限公司 2012 年公司债券（第一期）发行公告》。
