The following is a Company Announcement issued by FIMBank p.l.c. ("FIMBank" or the "Bank") pursuant to the Malta Financial Services Authority Capital Markets Rules 5.16 et seq., in accordance with the provisions of the Financial Markets Act (Chapter 345 of the Laws of Malta) as may be amended from time to time.

Merger by Acquisition

The Bank refers to its subsidiary FIM Business Solutions Limited, a company duly incorporated under the Laws of Malta, bearing company registration number C36423 and having its registered address at Mercury Tower, the Exchange Financial & Business Centre, Elia Zammit Street, San Giljan, STJ3155 (hereinafter 'FIM Business Solutions'). The Bank announces that, as part of a streamlining initiative and corporate restructuring exercise, the Bank's Board of Directors has recently resolved to approve a merger by acquisition between the Bank, as the acquiring company, and FIM Business Solutions as the company being acquired (the "Merger"). The Bank has obtained regulatory approval from the Malta Financial Services Authority in relation to the proposed Merger, which shall in turn be carried out in accordance with the provisions of Part VIII, Title II of the Companies Act (Chapter 386 of the Laws of Malta).

Upon the Merger taking effect, the Bank shall succeed to all the assets, rights, liabilities, and obligations of FIM Business Solutions, which in turn, shall cease to exist.

The Board of Directors believes that the Merger is in the best interest of the Bank and renders the structure of the FIMBank group of companies more effective and efficient.
