The following is a Company Announcement issued by FIMBank p.l.c. ("FIMBank" or the "Bank") pursuant to the Malta Financial Services Authority Capital Markets Rules 5.16 et seq., in accordance with the provisions of the Financial Markets Act (Chapter 345 of the Laws of Malta) as may be amended from time to time.

ANNUAL GENERAL MEETING

The Annual General Meeting of the Bank was held at The Westin Dragonara Resort, the Dragonara Point Ballroom, St. Julian's, Malta on Tuesday, 13th May 2025. The Members were referred to the Agenda of the Meeting as contained in the Notice to Members dated 17th April 2025, as well as other documentation mailed out to them which may be viewed at https://www.fimbank.com/en/documentation-2025. The Members considered and approved the following resolutions:

ORDINARY RESOLUTIONS

1. The Audited Accounts for the Financial Year ended 31st December 2024, together with the Report of the Directors, the Corporate Governance Statement and the Report of the Auditors thereon.
1. The appointment of PricewaterhouseCoopers Malta, registered auditors, as auditors and the authority of the Board of Directors to fix their remuneration.
1. The maximum aggregate emoluments of the Directors for the Financial Year ending 31st December 2025 be fixed at USD 450,000.
1. The appointment of the following persons as Directors of the Bank;

SPECIAL BUSINESS - ORDINARY RESOLUTION

The approval of the Remuneration Report for the year ended 31st December 2024 in terms of Chapter 12 of the Capital Markets Rules.
