Subject: Signing of an annex to the loan agreement with BankGospodarstwa Krajowego within the National Recovery and Resilience Plan
Legal basis: Article 17 (1) of MAR - inside information
With reference to the current report No. 10/2025 of 19 February 2025 theManagement Board of Energa SA ("Issuer") informs that on 9 September2025, the Issuer's subsidiary Energa Operator SA ("Company") signed withBank Gospodarstwa Krajowego an annex to the loan agreement for fundsfrom the National Recovery and Resilience Plan ("Agreement") increasingthe value of the loan amount from PLN 7,661,757,198.22 to PLN9,378,362,205.27 ("Loan"). The remaining terms of the Agreement remainedunchanged.
The funds disbursed under the Agreement are intended solely to refinancequalified expenditures incurred by the Company for the development ofsmart power grids by the Company in the years 2022-2036, supporting theenergy transformation of Poland. The Loan bears fixed interest rate of0.5% per annum. The Company is obliged to repay the Loan within 300months from the date of signing the Agreement, i.e., by 19 February 2050.
