Communication of changes to the El.En.'s share capital

Firenze, January 19th, 2026 – El.En. s.p.a., leader on the laser market listed on the Euronext STAR Milan ("STAR") of the Italian Stock Exchange, hereby gives notice of the changed amount of its share capital pursuant to art. 85-bis Consob Issuers' Regulation.

Following the exercise by certain beneficiaries of the 2016-2025 Stock Option Plan approved by the Board of Directors on September 13th, 2016, of the options granted to them for the subscription of newly issued ordinary shares, the company issued, in the period included between December 24th, 2025, and December 31st, 2025, n. 10.000 ordinary shares for an amount of nominal euro 325,00.

It is further noted that on December 31st, 2025, the deadline for the subscription of the divisible capital increase resolved pursuant to Article 2443 of the Italian Civil Code by the Board of Directors on September 13th, 2016, in connection with the 2016–2025 incentive plan addressed to directors and employees of El.En. S.p.A. and its subsidiaries, has definitively expired.

Therefore, as of December $31^{st}$ , 2025, the El.En.'s share capital signed and paid-in amounts to euro 2.612.497,94 equal to n. 80.384.552 ordinary shares.

The certification concerning the new amount of the share capital has been filed for registration with the Register of Companies of Florence as of today's date.

El.En. hereby gives notice that the updated Articles of Association have been filed to the Register of Companies of Florence and are made available to the public at the Company's registered office in Calenzano, at Borsa Italiana s.p.a., published on the Company's website www.elengroup.com, Sec. "Governance / Articles of association and regulations" and through the authorized storage website www.emarketstorage.com.

Finally, it should be noted that as of December 31st, 2025, the company holds a total of 235.346 treasury shares, representing 0,293% of the share capital.
