Continuous Service; and 2. 20 day VWAP of IXUPs shares meeting or exceeding a level which is 30% higher than the closing price for IXUP shares at the grant date and the Board determines, in its discretion, that the recipient contributed to such increase.

1,655,649 employee Performance Rights to vest subsequent to the below vesting conditions being met and tested over 12 month performance period, commencing on grant date and subject to 12 month holding lock post vesting: (1) Continuous services; and
