Board Changes and Change of Company Secretary
IXUP Limited (ASX: IXU) (“IXUP” or the “Company”), wishes to advise of a change to the structure of the Company’s Board of Directors, in addition to a change of the Company Secretary.
Mr Dean Joscelyne
Mr Dean Joscelyne, founder of the IXUP core technology and business and currently an Executive Director and consultant to IXUP, has transitioned to a Non-Executive Director (“NED”) of the Company, effective immediately.
While Mr. Joscelyne has transitioned to a Non-Executive role, he remains a key consultant to the Company, which will continue to benefit from his deep understanding of the IXUP core technology platform as well as his relevant global contact base.
Non-Executive Chairman, Mr. Julian Babarczy, commented on Mr. Jocelyne’s transition, “Dean has been an integral part of the development of the IXUP business over many, many years and has been instrumental in positioning the Company to embark on its current rapid growth strategy, which includes a pivot of operational focus towards the application of IXUP’s database encryption technology to the global gaming, wagering and sports rights sectors. Dean’s contribution and commitment to the IXUP business has been tireless, and we sincerely thank Dean for all his efforts in his previous executive capacity, particularly his selfless work throughout the difficult period of COVID-19 last year. Importantly, Dean remains fully engaged with the IXUP strategic efforts, and we look forward to continuing to work intimately with him”.
Mr Joscelyne will be entitled to standard NED fees of $60,000 per annum and continuation of his ongoing consulting contract at a rate of $120,000 per annum. There are no further changes to remuneration arrangements of Mr Joscelyne.
It is further noted that Mr Joscelyne is considered a non-independent NED, under the ASX Corporate Governance Principles and Recommendations, due to his past executive role.
Company Secretaries
Mr David Franks and Ms Victoria-Jane Otavski from the Automic Group have been appointed as Joint Company Secretaries, effective immediately.
David is a Chartered Accountant, Fellow of the Financial Services Institute of Australia, Fellow of the Governance Institute of Australia, Justice of the Peace, Registered Tax Agent and holds a Bachelor of Economics (Finance and Accounting) from Macquarie University. With over 25 years in finance and governance (including Company Secretarial and Corporate Finance), David has been CFO, Company Secretary and Director for numerous ASX listed and unlisted public and private companies, in a range of industries covering energy retailing, software as a service, transport, financial services, oil and gas / mineral exploration, technology, automotive, software development, wholesale distributions, retail, biotechnology and healthcare. He has acted in these capacities for Top 200 to small-cap companies listed on the Australian Securities Exchange, including for companies with OTC listings. Mr Franks is currently the Company Secretary for the following ASX Listed entities: AUB Group Limited, Aumake Limited, Cogstate Limited, COG Financial Services Limited, JCurve Solutions Limited, Noxopharm Limited, Nyrada Inc, White Energy Company Limited and ZIP Co Limited.
Victoria-Jane is a lawyer with extensive experience in all areas of commercial law and litigation and also spans the employment and media practices of Automic Group. Given Victoria-Jane’s breadth of experience, she is able to readily identify and diagnose legal issues and risks enabling her to provide strategic and pragmatic advice specifically catered to a client’s specific needs. Victoria-Jane acts for large institutional clients, publicly listed entities, small to medium businesses and individuals across the Federal and various State jurisdictions of Australia. In addition to her core areas, Victoria-Jane is also recognised for her transactional and corporate advisory work which is heavily informed by her understanding and experience in litigation and disputes. Victoria-Jane is a trusted advisor to her clients and known for her empathy and approachable manner.

Further to these appointments, Mr Andrew Whitten will step down as Company Secretary of the Company effective immediately. The Board wishes to thank Mr Whitten for his services to the Company.
For the purpose of ASX Listing Rule 12.6, Mr Franks will also be the person responsible for communications between the Company and ASX.
