上市公司治理专项活动自查报告及整改计划

一、特别提示：公司治理方面有待改进的问题

经公司 2007 年 4 月 24 日召开的第五届董事会 2007 年第三次临时 会议审议，自公司治理专项活动开展以来，公司按中国证券监督管理 委员会及江苏证监局、深圳证券交易所对治理专项活动的要求进行了 认真自查后认为，公司在治理上还存在以下几方面不足，需要不断完 善：

（一）建立健全“占用即冻结”机制。 （二）进一步加强公司内部审计监督职能。

（三）不断加强对子公司的管理，完善对子公司的考核激励机制。 （四）进一步加强投资者关系管理工作。

二、公司治理概况

公司原名苏州物资集团股份有限公司，1993 年底成立，1994 年在 深圳证券交易所上市。公司于1999 年末实施了重大资产重组，核心业 务以制造业为主体，主要生产经营各类光机电算一体化测绘仪器、输 变电高压绝缘子、洁净环保设备及工程、各类磨料磨具、滚针轴承及 电动车等产品，同时涉足品牌服务业、房地产开发、汽车销售等多项 领域，形成了以二产—高科技制造业为主导，三产—宾馆旅游、内外 贸易相结合多元化经营的产业格局。其中公司的光机电算一体化测绘

仪器系列、输变电高压绝缘子系列、洁净环保设备及工程系列和磨料 磨具系列等均在国内同行业占居领先地位，具有较强的核心竞争力。 2006 年末，公司总资产17.71 亿元，净资产7.04 亿元。2006 年度公 司主营业务收入14.49 亿元，净利润1.38 亿元。

（一）公司法人治理制度健全，治理结构完善。

1、法人治理结构方面

公司已按照《公司法》、《证券法》和现代企业制度的要求，完善 了股东大会、董事会、监事会、总经理办公会制度，形成权力机构、 决策机构、监督机构与经理层之间权责分明、各司其职、有效制衡、 协调运作的法人治理结构，确保董事会、监事会和股东大会等机构合 法运作和科学决策。

股东大会认真行使法定职权，严格遵守表决事项和表决程序的有 关规定，科学民主决策，维护公司和股东的合法权益。股东大会的召 集、召开程序符合相关规定，会议记录保存完整、安全，会议决议及 时披露，没有发生违反《上市公司股东大会规则》的情形。

董事会对全体股东负责，严格按照法律、法规和公司章程及相关 制度的规定履行职责，把好决策关。公司全体董事勤勉尽责，依法行 使职权。董事会的召集、召开程序符合相关规定，董事会会议记录保 存完整、安全，会议决议及时披露。

公司独立董事能认真、勤勉地履行应尽职责，积极出席会议，对 董事会的工作给予大力支持，积极参与公司的管理决策，对董事会提 出的各项议案认真、审慎地发表独立意见，并提出建设性意见，为董

事会科学、客观地决策，促进公司持续、健康发展发挥了重要作用， 切实维护了公司和中小股东的利益。

监事会认真发挥对董事会和经理层的监督作用。监事任职资格、 任免情况符合相关规定。监事会的召集、召开程序符合法律法规规定， 会议记录完整，会议决议及时披露。

经理层严格执行股东大会和董事会的决定，能够对公司日常生产 经营实施有效控制。经理层等高级管理人员忠实履行职务，维护公司 和全体股东的最大利益。管理人员责权明确，没有发生越权行使职权 的行为。

2、内部控制制度建设和执行方面

在内部控制制度建设方面，公司按照《公司法》、《证券法》、《深 圳证券交易所股票上市规则》、《企业会计制度》、《企业会计准则》等 法律法规，先后修订了《公司章程》、《股东大会议事规则》、《董事会 议事规则》、《监事会议事规则》、《总经理工作细则》、《规范关联交易 的规定》、《对外担保管理制度》、《投资及购买或出售资产管理制度》、 《信息披露制度》、《投资者关系管理办法》、《内部审计工作规定》、《财 务会计制度实施细则》、《公司主要会计政策和会计估计》等一系列公 司内部管理制度，制定了《关于加强子公司经营管理的规定》、《募集 资金管理办法》、《关于董事、监事和高级管理人员持有本公司股份及 其变动的管理规定》，建立了较为完善、健全、有效的内部控制制度体 系。上述各项制度建立之后得到了较好的贯彻执行，对公司的经营活 动起到了较为有效的监督、控制和指导的作用。

在内部控制制度执行方面，自公司成立以来，逐步建立和健全了 公司内部的组织机构和内部控制架构，在公司章程中明确了董事会和 总经理的权利和义务。董事会下设三个委员会，分别是：战略委员会、 提名与薪酬委员会、审计委员会，并制订了相关的实施细则，对委员 会人员组成、职责权限、工作程序、议事规则等作出明确规定。公司 各部门及岗位的分工、职责及权限明确，各项内控制度符合有关规定， 授权、签章等内部控制环节有效执行，确保了董事会及高级管理人员 下达的指令能够有效执行。

3、公司章程修订情况

修订依据：1）《公司法》、《证券法》以及中国证监会于2006 年3 月16 日发布的“关于印发《上市公司章程指引（2006 年修订）》的通 知”（证监公司字[2006]38 号）；2）深圳证券交易所于2006 年1 月5 日发布的《股票上市规则（2005 年12 月修订）》；3）、中国证监会、银 监会发布的《关于规范上市公司对外担保行为的通知》（证监发 [2005]120 号）。

修订程序：公司对现行《公司章程》作了较大修改，由2006 年3 月31 日召开的第四届董事会第六次会议审议通过，并提交于5 月9 日 召开的2005 年度股东大会审议通过。

（二）公司经营管理合法有效，以股东利益最大化为目标。

1、对外担保方面，公司担保事项（含子公司对外担保事项）均按 照相关法律法规的规定严格履行审批程序，并予以及时披露，切实保 护股东利益，未发生公司资产因担保事项遭受损失的情形。

2、股权转让方面，公司经营层以维护公司及股东利益为准则，围 绕“构筑多元精英产业”的发展战略，贯彻有进有退，实施结构调整。 在具体操作时，综合考虑汇率风险、审批程序、信息披露要求等方面， 工作周到、细致、扎实，力求实现公司和股东利益的最大化。

3、经营管理方面，公司经营层严格执行董事会制订的经营方针和 经营目标，从优化产品结构，提高创新能力，提升技术优势和人才优 势等方面，不断提高企业核心竞争力；通过提高管理效率和管理水平， 努力开拓市场，不断增强盈利能力。已制订的各运营环节的内部管理 制度，明确了各业务部门及子、分公司的职责与权限，保证了各项业 务的有效开展。

4、关联交易方面，公司关联交易事项的审批严格遵循相关法律法 规的规定；公司在履行关联交易决策程序时严格执行关联方回避制度， 并履行相应的信息披露义务。公司与控股股东在业务、人员、资产、 机构、财务等方面相互独立。未发生控股股东侵害公司利益的关联交 易事项。

5、资金占用和违规担保方面，截至 2006 年末，公司不存在关联 方非经营性资金占用以及违规对外担保事项。

6、股东回报方面，公司高度重视对股东的现金分红，遵循为股东 提供稳定的投资回报作为公司一贯的宗旨，自 1999 年资产重组以来， 累计向全体股东现金分红 2.18 亿元。

（三）公司合法合规做好信息披露工作，构建良好的投资者关系。

1、信息披露方面，公司切实履行作为公众公司的信息披露义务，

严格遵守信息披露规则，保证信息披露内容的真实、准确、完整、及 时，增强信息披露的有效性，保障投资者平等获取信息的权利。公司 修订了《信息披露制度》、《投资者关系管理办法》等，规范了公司定 期报告的编制、审议、披露程序及内部重大信息的报告、传递、审核、 保密、披露程序，信息披露工作严格按照各项制度执行，保证了信息 披露的公开、公平和公正。2006 年度公司被深圳证券交易所考评为信 息披露优秀。

公司严格按照相关法律、法规和上市规则的要求，及时、准确地 履行法定信息披露义务，并在此基础上，主动披露投资者关心的其他 相关信息，加深投资者对公司业务情况和发展趋势的了解，增加公司 的透明度。

2006 年，公司按照有关规定及时公布了年度、中期及季度的业绩 报告，真实、公允的反映公司的财务状况、经营成果以及现金流量； 发布了 45 个临时公告，对重大事项进行了持续公告，不断提高信息披 露的质量。没有发生信息披露方面的违规情形。

2、投资者关系管理方面，公司在接待个人投资者、基金公司、证 券公司相关人员的调研和媒体采访公司的过程中，严格按照《深圳证 券交易所上市公司公平信息披露指引》的相关规定，未发生有选择性 地、私下、提前向特定对象单独披露、透露或者泄露公司非公开重大 信息的情况，保证了信息披露的公平性。

三、公司治理存在的问题及原因

公司通过严格的自查认为，公司在治理方面整体情况良好，运作 规范，为公司的发展提供了必要的条件，对保护广大股东利益发挥了 作用，不存在重大问题或失误。提高上市公司质量是一项长期、艰巨 的任务，公司治理是一项复杂的系统工程。为进一步加强公司规范水 平，提高公司治理质量及整体竞争力，公司在以下几方面的工作还存 在不足，需要进一步加强：

（一）需建立健全 “占用即冻结”机制。

公司高管一直非常重视防止大股东及其附属企业占用上市公司资 金、侵害上市公司利益的问题，截至 2006 年底，公司没有发生上述占 用情况。但从制度建设方面看，公司尚需建立专门的防止大股东占用 上市公司资金的“占用即冻结”机制。

（二）需进一步加强公司内部审计监督职能。

公司已经建立了《内部审计工作规定》，并已开展了对子公司的审 计工作，但审计力量配备不足，尚未配有专职内审人员，内审工作还 缺乏计划性和系统性。

（三）需不断加强对子公司的管理，完善对子公司的考核激励机 制。

公司属于控股型公司，由于公司控股子公司数量多，所处行业不 同，所处行业地位不同，所处行业发展周期也不同，既要保持子公司 可持续发展战略的长远目标，又要调动各子公司经营层的积极性，客 观上增加了对子公司的管理难度以及考核激励机制的制定难度。

（四）需进一步加强投资者关系管理工作。

目前，资本市场已经进入了全流通时代，与股权分置改革前相比， 市场发生了质的变化，公司要面对广大股东与社会的有效监督，必须 以全体股东利益最大化为宗旨，不断研究和加强投资者关系管理工作， 不断创新，以适应新形势下的资本市场，有效提升公司价值。

四、整改措施、整改时间及责任人

公司已于 2007 年 4 月根据相关法律法规的最新变化，修订了《规 范关联交易的规定》、《对外担保管理制度》、《投资及购买或出售资产 管理制度》、《信息披露制度》、《投资者关系管理办法》、《内部审计工 作规定》、《财务会计制度实施细则》、《公司主要会计政策和会计估计》 等一系列公司内部管理制度，制定了《募集资金管理办法》、《关于董 事、监事和高级管理人员持有本公司股份及其变动的管理规定》。

针对上述问题，公司制定了相应的整改措施、整改时间以及责任 人，如下：

（一）建立健全“占用即冻结”机制。

整改措施：公司董事会将在 2007 年 10 月底前，按照中国证监会 《关于进一步加快推进清欠工作的通知》（证监公司字[2006]92 号）文 件的要求，结合公司实际情况，审议通过专门的“占用即冻结”内控 机制，进一步完善公司内控制度，并在 2007 年底之前提交股东大会审 议通过后执行。

（二）进一步加强公司内部审计监督职能。

整改措施：公司将按照公司《内部审计工作规定》的要求，进一 步加强内部审计工作，充分发挥内审监督作用，防范风险。公司将在 2007 年 9 月 30 日前充实内审力量，增设专职内审人员。在 2007 年底 前，制订下一年度的内审工作计划，并按照相关制度的要求，完备有 关后续审计、底稿归档等工作。2008 年将在落实公司内部审计工作的 同时，进一步建立、健全重点控股子公司的内审职能。

（三）不断加强对子公司的管理，完善对子公司的考核激励机制。 整改措施：2007 年 10 月底前对各子公司的董事会、股东大会预备会制 度的建立和执行情况进行检查，并根据检查情况，责令子公司进行整 改。

2007 年 10 月底前，按照公司的《对外担保管理办法》，对各控股 子公司的对外担保制度进行修订，从制度上规范子公司的对外担保行 为。

随着公司内部审计工作的加强，今后将定期检查子公司内控制度 执行情况。

2008 年底之前，公司将针对各子公司的行业特点、在行业内所处 的地位以及所处的行业发展周期，因地制宜地制定切实可行的对子公 司的考核方案，并不断完善考核制度。

（四）进一步加强投资者关系管理工作。

整改措施：公司将一如既往地通过及时、准确、完整的信息披露、 公开联系电话、接待投资者调研等方式提高公司透明度，加强与投资 者之间的交流沟通，同时将严格按照有关规定并根据公司的实际情况， 积极拓宽与投资者沟通的渠道。在已制订的《投资者关系管理办法》 基础上，公司在 2007 年 10 月底前制订相关业务细则，明确在公司业 绩出现大幅波动、拟实施融资计划、重大资产重组等重大事项时，须 举办诸如业绩说明会、投资者网上交流等活动，为投资者全面了解公 司情况提供便利条件，树立公司良好的市场形象。

五、有特色的公司治理做法

（一） 注重股东回报，连续七年现金分红。

公司自 1999 年底实施重大资产重组以来，非常注重对投资者的回 报，从 2001 年度起至今已连续 7 年为股东现金分红，截至 2007 年， 已累计现金分红 2.18 亿元，使广大的投资者获得了稳定的现金回报。

（二）建立并形成有效的信息传递机制和监管体系以保证信息披 露的质量。

随着公司规模和子公司的不断扩大，要确保信息披露的及时、准 确、完整就必须建立有效的信息传递机制和监控体系。公司不断修订

《信息披露制度》并在各子公司均指定信息披露人员，作为对口的指 定联络人，公司出具定期报告前及时培训各子公司信息披露人员，及 时总结，不断提高，同时建立了重大信息内部报告制度，明确责任人 及其相关义务，保证了公司范围内重大信息的及时传递和披露，在具 体实践中具有很强的操作性，成为整体规范运作的保证。

（三）对子公司重大事项实行事先审议制度。

根据本公司控股子公司较多、业务范围较广、管理幅度较宽的特 点，为强化公司决策职能和对子公司管理指导力度，公司不仅注重加 强子公司股东会、董事会、监事会和经营层治理建设，培训和提高派 出董事、监事和高管人员的履职能力，而且对子公司经营管理中重大 事项建立了事先审议制度，重大事项包括子公司中长期发展规划、年 度经营计划、投资计划、融资计划、财务预决算、利润分配、高管人 员的考核奖励等。在下属子公司决策机构商议决策之前，公司先行召 开预备会议，由公司董事长、总经理、各部门负责人、相关专家以及 公司派往所在子公司董事、监事、高管人员参加，研究讨论该些重大 事项，确定公司基本立场和对策方案，然后由派出董事、监事、高管 及股东代表通过子公司董事会、监事会、股东会进行贯彻，使子公司 经营管理符合公司整体目标和方向。

六、其他需说明的事项

为切实贯彻落实中国证监会证监公司字[2007]28 号《关于开展加 强上市公司治理专项活动有关事项的通知》、江苏证监局苏证监公司字

[2007]104 号《关于开展上市公司治理专项活动相关工作的通知》以及 深圳证券交易所下发的《关于作好加强上市公司治理专项活动有关工 作的通知》要求，在江苏证监局和深圳证券交易所的统一部署和指导 下，公司高度重视本次活动，由董事长作为本次活动的总负责人，亲 自牵头，周密组织，认真安排。公司组织董事、监事、高管认真学习 文件精神和通知要求，并结合公司实际进行深入的讨论研究，把本次 活动与提高公司规范运作水平和整体竞争力相结合，认真查找公司治 理中存在的不足，制订并落实整改措施，注重制度建设，建立长效机 制，务求实效。

在本次活动中，公司将工作安排、工作进展以及遇到的问题及时 向江苏证监局和深圳证券交易所进行报告，并得到江苏证监局和深圳 证券交易所的大力指导和支持。
