Mr. Bilal Sharif has submitted his resignation from the governing board and audit committee due to personal reasons which was duly accepted by the board of directors.
Consequently, the casual vacancy occurring shall be filled by the existing directors in terms of section 155(3) of the Act and the appointed director shall hold office for the remainder of the term of the director in whose place he is appointed under the provision of section 161(2) of the Act.
The Board has unanimously approved the appointment of Mr. Asif Elahi, the Independent Director, to fill the casual vacancy as a member of the Audit Committee effective April 29, 2026.
The board of directors have unanimously approved the sale/transfer of 10 acres of land at arm’s length, to the related party M/s Umer Farms (Pvt) Ltd and approved to hold an EOGM to seek approval of members for the said transaction under the provision of sections 183, 207-208 of the Act.
The board of directors have authorized Mr. Mohammad Salim and Mr. Muhammad Shaheen to act singly or to appoint an “Attorney” in order to sign, submit and deliver the required documents to fulfil the legal formalities with the concerned authorities and execute the transaction in the most beneficial interests of shareholders and the company.
