Clarification of consideration securities
Biotron Limited (ASX:BIT) (Biotron or the Company) refers to its acquisition of Sedarex Limited, which was announced to ASX on 15 October 2025. The consideration for the purchase is:

500,000,000 ordinary Biotron shares; and
-
Performance Shares with a face value of $500,000; which convert to ordinary Biotron Shares upon the relevant milestone being satisfied (as set out in Biotron’s 15 October announcement) with an issue price the greater of the then 10 day VWAP for Biotron’s shares and $0.003.
Further information on the Performance Shares, including their full terms, are set out in Biotron’s notice of annual general meeting, which was sent to shareholders and released to ASX today.
Accompanying this announcement is an amended Appendix 3B showing only the consideration shares and a new Appendix 3B for the Performance Shares..
