COMUNICADO AO MERCADO

REDUÇÃO DE PARTICIPAÇÃO ACIONÁRIA RELEVANTE

A BIOMM S.A. (“Companhia” ou “Biomm”), em atendimento ao disposto no artigo 12 da Instrução da Comissão de Valores Mobiliários nº 44, de 23 de agosto de 2021, conforme alterada, vem comunicar aos seus acionistas, ao mercado em geral e demais interessados que, em 27 de abril de 2026, recebeu correspondência do BRB - Banco de Brasília S.A. (“BRB”) , inscrita no CNPJ/MF sob o número 00.000.208/0001-00, informando que, promoveu a alienação de parcela relevante da participação acionária do Cartago Fundo de Investimento Financeiro em Ações (“FIA CARTAGO”), CNPJ 53.285.833/0001-02, e após a referida alienação o BRB passou a deter 4.449.200 ações ordinárias de emissão da Companhia, equivalente a aproximadamente a 3,25% do capital social da Biomm S.A.

O BRB informou também que as alienações realizadas se inserem em processo de desinvestimento da participação anteriormente detida na Companhia, não tendo a intenção de influenciar a gestão ou o controle da BIOMM S.A.

NOTICE TO THE MARKET

DECREASE OF RELEVANT STAKE

BIOMM S.A. (“Company” or “Biomm”), in compliance with the provisions of article 12 of the Securities and Exchange Commission Instruction No. 44, of August 23, 2021, as amended, hereby informs its shareholders and the market in general that, on April 27[th] , it has received a notice from BRB - Banco de Brasília S.A. (“BRB”), enrolled in the CNPJ/MF under number 00.000.208/0001-00, informing that, it had sold a significant shareholding stake of Cartago Fundo de Investimento Financeiro em Ações (“CARTAGO FIA”), CNPJ 53.285.833/0001-02, and after the sale, BRB now holds 4,449,200 common shares issued by the Company, equivalent to approximately 3.25% of the Company’s share capital.

BRB also reported that the sales carried out are part of a divestment process of its previously held stake in the Company, and are not intended to influence the management or control of BIOMM S.A.
