With reference to reports No. 18/2025 dated 27 March 2025 and No.14/2025 dated 10 March 2025, the Management Board of Benefit SystemsS.A. (the "Company") hereby informs that the Company has receivedinformation confirming that all conditions precedent included in theagreement to acquire 100% of shares in the share capital of Mars SporKulb ve Tesisleri letmecilii A.., with its registered office inIstanbul, Turkey, by the Company have been satisfied.

The Management Board of the Company expects to complete the transactionin the second quarter of 2025, about which the Company will inform in aseparate report.
