Report Content Conclusion of loan agreement with associated companyTheManagement Board of Benefit Systems S.A. with its registered seat inWarsaw (the _quot;Company_quot;, _quot;Issuer_quot;) hereby informs that on 16 December 2024the Company concluded with Calypso Fitness S.A. (the "CF"), BalticFitness Center sp. z o.o. and Camaro Fundusz Inwestycyjny ZamkniętyAktywów Niepublicznych a loan agreement (the "Agreement"), as a resultof which the Issuer will provide to the CF a loan in the amount of PLN20.5 million (the "Loan").

The Loan utilization will depend on the fulfilment of selectedconditions precedent and will be granted for the period until 31December 2027.
