PUBLICATION OF DOCUMENTATION PARTIAL DEMERGER BY SPIN-OFF
Rome, 23 December 2024 – ACEA is pleased to announce that the Demerger Project has today been published on the Corporate website (www.gruppo.acea.it), on the authorised storage mechanism (), and filed at the Company's registered office, pursuant to Articles 2501-septies and 2506-ter of the Italian Civil Code.
The partial demerger by spin-off transaction, pursuant to Articles 2506.1 et seq. of the Italian Civil Code, is being carried out as part of a corporate reorganisation in which the demerged compendium comprises investments in the Group's companies pertaining to the gas distribution sector and other assets associated therewith, and involves the transfer of the said compendium to a newly created company, to be wholly owned by ACEA.
The decision concerning the demerger will be taken by ACEA's management body, in accordance with Article 20 of the Company's Articles of Association.
