Report Content Increase in the total number of votes at the General Meeting of mBankS.A. to a level above 5% by Nationale-Nederlanden OFE

The Management Board of mBank S.A. (_quot;Bank_quot;) informs that on March 21,2024, the Bank received a notification from Nationale-NederlandenPowszechne Towarzystwo Emerytalne S.A. ("NN PTE") regarding an increasein ownership by Nationale-Nederlanden Otwarty Fundusz Emerytalny ("NNOFE") above 5% in the share capital of the Bank and the number of votesat the General Meeting of the Bank. The transactions were concluded onMarch 19, 2024 on the Warsaw Stock Exchange.

According to the notification, after the share purchase transactions, NNOFE held a total of 2,129,814 shares of the Bank, constituting 5.0154%of the share capital and the total number of votes at the GeneralMeeting of the Bank. Prior to the transactions, NN OFE held a total of2,115,804 shares of the Bank, constituting 4.9824% of the share capitaland the total number of votes at the General Meeting of the Bank.

As a result of the aforementioned transactions, the accounts of thefunds managed by NN PTE hold a total of 2,200,912 shares in the Bank.
