Report Content Change of declaration of resignation of a member of the SupervisoryBoard from the function performed

In reference to current report no. 55/2024, the Management Board ofmBank S.A. (Bank) hereby informs that on 12 December 2024 the Bankreceived a letter from dr Bettina Orlopp amending the declaration ofresignation from the function of a member of the supervisory board ofthe Bank dated 14 October 2024. Dr Orlopp will remain a member of thesupervisory board of the Bank until 27 February 2025.

The Remuneration and Nomination Committee of the supervisory boardrecommended changing the candidate for the vacant position. The newcandidate is Carsten Schmitt.His appointment to the supervisoryboard of the Bank is subject to a positive assessment of suitability.

Carsten Schmitt was appointed on 21 November 2024 to the position ofChief Financial Officer (CFO) to the Board of Managing Directors ofCommerzbank AG, subject to regulatory approvals.
