The Board of Directors of FIMBank met in Malta on Wednesday, 9th April 2025 and approved the Bank's Annual Report and Financial Statements for the financial year ended 31st December 2024. The Bank's ESEF Annual Report and Financial Statements has been made available for public viewing on the Company's website at https://www.fimbank.com/en/financial-information.

The ESEF Annual Report and Financial Statements for the year ended 31st December 2024 and the Directors' Declaration on ESEF Annual Report and Financial Statements 2024 can be viewed on the Malta Stock Exchange Website (the official appointed mechanism) athttps://borzamalta.com.mt/.

The Directors' Declaration is being attached to this Company Announcement.

The Board of Directors resolved that the Bank's Annual Report and Financial Statements be submitted for approval by the shareholders at the forthcoming Annual General Meeting, which shall be held in Malta on Tuesday, 13th May 2025.

DIRECTORS' DECLARATION ON ESEF ANNUAL FINANCIAL REPORTS

We, John C. Grech and Masaud M. J. Hayat, in our capacity as Directors of FIMBank p.l.c. bearing company registration number C17003, hereby certify:

• i. That the Annual Financial Report for the year ended 31 December 2024 has been approved by the Board of Directors of the Company and is hereby being made available to the public.
• ii. That the Annual Financial Report has been prepared in terms of the applicable rules and regulations, including the Commission Delegated Regulation on the European Single Electronic Format ("ESEF")1 and the Capital Markets Rules2.
• iii. That the Audit Report on the ESEF Annual Financial Report is an exact copy of the original signed by the auditor and that no alterations have been made to the audited elements of the Annual Financial Report including the annual financial statements.
• iv. That the Annual Financial Report shall serve as the official document for the purposes of the Capital Markets Rules and the Companies Act (Chapter 386 of the Laws of Malta).
