The following is a Company Announcement by FIMBank p.l.c. ("FIMBank" or the "Bank") pursuant to the Malta Financial Services Authority Listing Rules 5.16.5, 5.20 and 5.21:

The Board of Directors of FIMBank announces that Ms Margrith Lütschg-Emmenegger, President, has decided to retire due to personal reasons. The Board accepted her resignation with effect from 1 January 2015.

Ms Lütschg-Emmenegger joined FIMBank as Executive Vice President in April 2003 and was appointed President in September 2004. The Board expressed their sincere gratitude toward Ms Lütschg-Emmenegger, thanking her for contributions throughout her tenure and wished her all the best for her retirement. In light of Ms Lütschg-Emmenegger's experience the Board deems it befitting for her to act as a consultant to the Bank.

The Board is pleased to announce that Mr Simon Jethro Lay shall be appointed acting CEO of FIMBank ad interim. Mr Lay, of 3 Meadow Way, Orpington, Kent BR6 8LN, UK, joined London Forfaiting Company Limited ("LFC") in 1991 and was entrusted with expanding its operations in the Americas, the Middle East and Turkey. Today, Mr Lay is the First Executive Vice President and Managing Director of LFC, which forms part of the FIMBank Group. Mr Lay is also FIMBank's Representative Officer in the United Kingdom.

Mr Lay shall be appointed acting CEO of FIMBank ad interim with effect from 1 January 2015, subject to regulatory approval.

In terms of the Listing Rule 5.20.2 Mr Lay also sits on the Board of LFC. There are no further matters concerning Mr Lay which require disclosure under Listing Rules 5.20.5 to 5.20.9.
