Sub: Outcome of the Board Meeting held on November 18, 2024 and disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Pursuant to Regulation 30 of the SEBI (Listing Obligation and Disclosure Requirements) Regulations 2015, we wish to inform you that the Board of Directors of Zee Learn Limited at their Meeting held today (i.e. Monday, November 18, 2024), has inter alia, approved execution of Supplemental Facilities Agreement and other financing documents with Assets Care & Reconstruction Enterprises Limited, (ACRE) in relation to repayment of outstanding loans borrowed by certain trusts and entities, and corporate guarantee issued by the Company on June 20, 2016 and October 22, 2018. Further, a few entities forming part of promoter and promoter group have also in principally agreed to extend security on their assets in order to additionally secure the above-mentioned outstanding loans borrowed by trusts and entities.

The Meeting of the Board of Directors of the Company commenced at 7:50 p.m. and concluded at 8:05 p.m.
