一、謹訂於民國112年6月9日(星期五)上午十時整，假高雄市大寮區(大發工業區)華西路12號(本公司大發廠)召開本公司112年股東常會。本次會議受理股東開始報到時間 為上午9時30分，報到處地點同開會地點。

  • 二、會議事項：(一)報告事項：1.111年度營業報告。2.111年度審計委員會審查報告書。3.111年度員工及董事酬勞分配情形報告。4.111年度董事酬金報告。5.公司債發 行情形報告。6.庫藏股執行情形報告。7.修訂本公司「公司治理實務守則」部分條文案。8.修訂本公司「永續發展實務守則」部分條文案。(二)承認事項：1.111年度 營業報告書及財務報表案。2.111年度盈餘分配案。(三)討論事項：修訂本公司「公司章程」部分條文案。(四)選舉事項：全面改選董事案。(五)其他議案：解除新任 董事及其代表人競業禁止之限制案。(六)臨時動議。

  • 三、本公司董事會擬訂111年度現金股利分配內容：股東現金股利每股分配1元。現金股利分配案俟股東常會通過，授權董事長訂定配息基準日分配之；實際配息率按配息 基準日實際流通在外股數調整之。

  • 四、本次股東會會議主要內容，若有公司法第172條規定之事項，除列舉於召集通知外，其主要內容，請逕至公開資訊觀測站(網址：https://mops.twse.com.tw，點選 「基本資料/電子書/年報及股東會相關資料(含存託憑證資料)」，輸入本公司代號及年度後再選取股東會相關資料)查詢。
