XXL ASA – Sale of treasury shares

With reference to the Extraordinary General Meeting in XXL ASA (“XXL” or the “Company”) this morning and the approval to sell the Company’s treasury shares, XXL has today sold 3,096,274 own shares, representing 2.23% of the outstanding shares in XXL, at a price of NOK 25.00 per share. XXL has no shares in XXL after this transaction.

Altor Fund IV (via Altor Invest 5 AS and Altor Invest 6 AS) (“Altor”) has today purchased 3,096,274 treasury shares from the Company, representing 2.23% of the outstanding shares in XXL, at a price of NOK 25.00 per share. After the transaction, Altor holds 17,096,274 shares in the Company, representing 12.29% of the outstanding shares and votes in the Company. Hugo Maurstad represents Altor Invest 5 and Altor Invest 6 on the Board of Directors of XXL.
