Reference is made to the stock exchange announcement made by XXL ASA (the "Company") on 6 September 2023 regarding the allocation of shares in the fully underwritten rights issue of 1 250 001 065 new shares in the Company, each with a nominal value of NOK 0.40, at a subscription price of NOK 0.40 per share (the "Rights Issue").

In connection with the Rights Issue, ODIN Fund Management was allocated a total of 115 972 572 ordinary shares. After a back-to-back transaction of 17 768 055 ordinary shares with DNB Markets, a part of DNB Bank ASA, ODIN Fund Management will, subject to the completion of the Rights Issue and related transactions, own 133 385 342 A-class shares, representing 9.9% of the votes and 8,02% of the capital in the Company.
