XXL ASA – Mandatory notification of trade

Altor 5 Invest AS and Altor 6 Invest AS, both close associates of primary insider and board member in XXL ASA, Tom Jovik, have on 29 August 2023 acquired 158,157,955 subscription rights in XXL ASA. Each subscription right carries the right to subscribe for one new share in XXL ASA' ongoing rights issue at a subscription price of NOK 0.40 per share. The subscription rights will lapse if not exercised during the subscription period under the rights issue. If Altor 5 Invest AS and Altor 6 Invest AS are allotted shares in the rights' issue which will result in them becoming owners of more than 1/3 of the shares in XXL ASA, then, under the terms of the resolution passed at the extraordinary general meeting of XXL ASA on 17 August 2023, the number of shares which would otherwise have resulted in a shareholding representing more than 1/3 of the votes in XXL ASA will be issued as non-voting and unlisted Class B shares.
