NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT 2001 (CTH)

As announced by xReality Group Limited (ASX: XRG) ( Company ) earlier today, the Company gives notice under section 708A(5) of the Corporations Act 2001 (Cth) ( Corporations Act ) that the Company has issued 1,881,840 fully paid ordinary shares at $0.031884 per share ( Placement Shares ) to a total value of $60,000, in consideration for corporate advice provided to the Company. This price was calculated at a 5% discount to the 14 day VWAP for the day prior to the signing the corporate advisory agreement, which was 23 October 2024, in accordance with that agreement.

The Company gives notice of the following:

1. The Placement Shares were issued without disclosure in accordance with Part 6D of the Corporations Act.

2. As at the date of this notice, the Company has complied with:

   • (a) the provisions of Chapter 2M of the Corporations Act as they apply to it;

   • (b) sections 674 and 674A of the Corporations Act.

3. There is no excluded information (as defined in sections 708A(7) and 708A(8) of the Corporations Act).
