NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT 2001 (CTH)

As announced by xReality Group Limited (ASX: XRG) (Company) earlier today, the Company hereby gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act) that the Company has issued 1,159,312 fully paid ordinary shares to sophisticated and professional investors at $0.052 per share (Placement Shares) in consideration for the provision of corporate advisory services.

For the purposes of section 708(5)(e) of the Corporations Act, the Company gives notice of the following:

1. The Placement Shares were issued without disclosure in accordance with Part 6D.2 of the Corporations Act.
2. As at the date of this notice, the Company has complied with:

(a) the provisions of Chapter 2M of the Corporations Act as they apply to it; and
(b) sections 674 and 674A of the Corporations Act.

1. As at the date of this notice, there is no excluded information (as defined in sections 708A(7) and 708A(8) of the Corporations Act).
