NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT 2001 (CTH)

xReality Group Limited (ASX: XRG) ( Company ) gives notice under section 708A(5) of the Corporations Act 2001 (Cth) ( Corporations Act ) that the Company has issued 92,565,249 fully paid ordinary shares at $0.05 per share ( Placement Shares ) to a total value of $4,628,262.45 to repay all amounts owing under the loan facility with Birkdale Holdings (Qld) Pty Ltd in full. This price was calculated at a 39% premium to the closing price on 5 March 2025, being the date of signing the debt repayment agreement.

The Company gives notice of the following:

1. The Placement Shares were issued without disclosure in accordance with Part 6D of the Corporations Act.

2. This notice is being given under section 708A(5)(e) of the Corporations Act.

3. As at the date of this notice, the Company has complied with:

   • (a) the provisions of Chapter 2M of the Corporations Act as they apply to it;

   • (b) sections 674 and 674A of the Corporations Act.

4. As at the date of this notice, there is no excluded information (within the meaning of sections 708A(7) and 708A(8) of the Corporations Act).
