Issue of cleansing notice under section 708A(5)(e) Corporations Act

This notice is provided by XPON Technologies Group Limited ACN 635 810 258 (ASX:XPN) ( XPON or the Company ) for the purposes of section 708A(5)(e) of the Corporations Act 2011 (Cth) ( Corporations Act ).

The Company has today allotted:

• (i) 30,811,725 fully paid ordinary ( Shares ) to the vendor of Alpha Digital Design Consultants (Aust) Pty Ltd ( Alpha Digital ) as part consideration for the acquisition of Alpha Digital as announced on 5 May 2025, with the Shares subject to voluntary escrow until 9 May 2026; and

• (ii) 21,000,000 fully paid ordinary shares ( Shares ) relating to the conversion of warrants attaching to the Convertible Notes capital raising previously announced on 26 February 2024.

Further information in relation to the above allotments can be found in the Appendix 2As released to the ASX today.

XPON issued the Shares without disclosure to investors under section 708A(5) Corporations Act 2001 (Cth) ( Corporations Act ).

As required by section 708A(6) Corporations Act, XPON advises:

• (a) the Shares were issued without disclosure to investors under part 6D.2 Corporations Act and as permitted in compliance with section 708A Corporations Act;

• (b) this notice is being given under section 708A(5)(e) Corporations Act and in accordance with section 708A(6) Corporations Act;

• (c) as at the date of this notice, XPON has complied with:

• (i) the provisions of chapter 2M of the Corporations Act as they apply to XPON; and

• (ii) section 674 and 674A of the Corporations Act; and

• (d) as at the date of this notice, there is no information that is ‘excluded information’ (within the meaning of sections 708A(7) Corporations Act) to be disclosed under section 708A(6)(e) Corporations Act.
