This is to inform you that, in the Board Meeting held on Tuesday, February 11, 2025 it was discussed that the M/s Worth Peripherals Limited (the Company) which is already listed on National Stock Exchange (NSE) platform and now is intending to get listed on BSE through Direct Listing.

It was proposed to apply to the Bombay Stock Exchange (BSE) for listing of equity shares through Direct Listing Process. The Board has approved to list shares on BSE through direct listing as per the SEBI (LODR), 2015, Companies Act 2013 and any other Rules and Regulations applicable.

In due course the Company will apply to Bombay Stock Exchange and file the necessary applications, forms, returns with the Registrar of Companies and Stock Exchanges to give effect to the aforesaid proposal and will do all such acts, deeds, matters and things as may be considered necessary, desirable or expedient to give effect to this listing proposal.
