Sub: Intimation of the Board Meeting schedule to be held on August 06, 2025 of Worth Peripherals Limited

In terms of Regulation 29 of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 as amended from time to time, we hereby notify that a meeting of the Board of Directors of the Company is scheduled to be held on Wednesday, August 6, 2025 at the registered office of the Company situated at 102, Sanskriti Apartment 44, Saket Nagar, Indore - 452018 , inter alia to consider and approve:

1. To consider and approve the Un-audited Financial Results (Standalone and Consolidated) of the Company for the first quarter ended June 30, 2025 as prescribed under Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended from time to time.

2. To consider the Limited Review Report for the first quarter ended June 30, 2025.

3. Change in Designation –

   • a. To approve the change of designation of Mr. Jayvir Chadha (DIN:02397468) as the Managing Director of the Company.

   • b. To approve the re-designation of Mr. Raminder Singh Chadha (DIN:00405932) as the Executive Director and Chairman of the Company.

4. Other Business

Further kindly note that pursuant to SEBI (Prohibition of Insider Trading) Regulation, 2015, as amended from time to time, the trading window of the Company has been closed from July 01, 2025 and shall remain closed till 48 hours from the announcement/declaration of the Un-audited Financial results of the Company for the quarter ended June 30, 2025. Accordingly, the trading window shall remain closed from Tuesday, July 01, 2025 till Friday, August 08, 2025 (both days inclusive).
