Augmentation de capital – Nouveau dénominateur

Information réglementée

Notification conformément à l'article 15 de la loi du 2 mai 2007 relative à la publicité des participations importantes dans des émetteurs dont les actions sont admises à la négociation sur un marché réglementé et portant diverses dispositions (loi sur la transparence).

À la suite de la réalisation d'une augmentation de capital le 6 mai 2026, le capital de Whitestone Group a été augmenté de 7.592.246,10 EUR (prime d'émission incluse).

Le capital est désormais représenté par 10.022.169 actions sans valeur nominale, chacune donnant droit à une voix lors de l'assemblée générale des actionnaires. Ce nombre d'actions représente le nombre total de titres conférant des droits de vote (uniquement des actions ordinaires) ainsi que le nombre total de droits de vote (uniquement liés aux actions ordinaires), et constitue le dénominateur pour le calcul des franchissements, à la hausse ou à la baisse, des seuils légaux ou statutaires. Les parties concernées sont invitées à procéder aux notifications requises, le cas échéant.

Une demande d'admission à la négociation des 443.991 nouvelles actions sur Euronext Growth Brussels sera introduite prochainement.

Capital increase – New denominator

Regulated information

Notification pursuant to Article 15 of the Act of 2 May 2007 relating to the disclosure of major holdings in issuers whose shares are admitted to trading on a regulated market and containing various provisions (Transparency Act).

Following the completion of a capital increase on 6 May, 2026, Whitestone Group’s capital has been increased by 7.592.246,10 EUR (including issue premium).

The capital is now represented by 10.022.169 shares without nominal value, each entitling the holder to one vote at the general meeting of shareholders. This number of shares represents the total number of securities conferring voting rights (only ordinary shares) and the total number of voting rights (only linked to ordinary shares) and shall serve as the denominator for calculating the reaching, exceeding, or failing to reach statutory or legal thresholds. The parties are invited to proceed with the required notifications as and where necessary. An application for the admission to trading of the 443.991 new shares on Euronext Growth Brussels will be submitted in due course.

Kapitaalverhoging – Nieuwe noemer

Kennisgeving overeenkomstig artikel 15 van de wet van 2 mei 2007 op de openbaarmaking van belangrijke deelnemingen in emittenten waarvan de aandelen zijn toegelaten tot de verhandeling op een gereglementeerde markt en houdende diverse bepalingen (Transparantiewet).

Naar aanleiding van de voltooiing van een kapitaalverhoging op 6 mei 2026 is het kapitaal van Whitestone Group verhoogd met 7.592.246,10 EUR (inclusief uitgiftepremie).

Het kapitaal wordt voortaan vertegenwoordigd door 10.022.169 aandelen zonder nominale waarde, die elk recht geven op één stem op de algemene vergadering van aandeelhouders. Dit aantal aandelen vertegenwoordigt het totale aantal effecten dat stemrechten verleent (uitsluitend gewone aandelen) en het totale aantal stemrechten (uitsluitend verbonden aan gewone aandelen), en vormt de noemer voor de berekening van het bereiken, overschrijden of niet bereiken van de wettelijke of statutaire drempels. De betrokken partijen worden verzocht, waar nodig, de vereiste kennisgevingen te doen. Een aanvraag tot toelating tot de verhandeling van de 443.991 nieuwe aandelen op Euronext Growth Brussels zal te gepasten tijde worden ingediend.
