COMPLETION OF SUBSCRIPTION OF NEW SHARES UNDER SPECIFIC MANDATE

Reference is made to (i) the announcement of Web3 Meta Limited (the "Company") dated 15 September 2025 and 20 October 2025 (the "Announcements") and (ii) the circular of the Company dated 3 October 2025, respectively in relation to the subscription of new shares under specific mandate. Capitalised terms used herein shall have the same meanings as those defined in the Announcements unless otherwise specified.

COMPLETION OF THE SUBSCRIPTION AGREEMENT

The Board is pleased to announce that all the conditions of the Subscription Agreement have been fulfilled and the completion of the subscription by Invengo Technology Pte. Ltd. (the "Subscriber") took place on 3 November 2025, whereby 8,246,400 Shares was allotted and issued to the Subscriber by the Company at the Subscription Price of HK$1.60 per Subscription Share in accordance with the terms and conditions of the Subscription Agreement.

The net proceeds from the issue of the Subscription Shares of approximately HK$12.8 million are intended to be used for the purposes as disclosed in the Announcements.
