PROFIT WARNING

This announcement is made by Web3 Meta Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on GEM of The Stock Exchange of Hong Kong Limited (the "GEM Listing Rules") and the Inside Information Provisions (as defined under the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board (the "Board") of directors (the "Directors") of the Company wishes to inform the shareholders of the Company (the "Shareholders") and potential investors that based on the preliminary assessment of the unaudited consolidated financial results (the "Interim Results") of the Group for the year ended 31 December 2025 (the "Period") and the latest information currently available to the Board, the Group is expected to record a loss attributable to the Shareholders of the Company ranging from approximately HK\$9.40 million to HK\$9.80 million for the six months ended 31 December 2025, as compared to a profit attributable to the Shareholders of the Company of approximately HK\$0.34 million for the six months ended 31 December 2024.

Based on the information available to the Company prior to the publication of this announcement, the Board considers that the expected decrease was mainly due to changes in the overall risk of the current market. The Group therefore increased the provision for credit loss on other receivables and prepayments, resulting in an increase in the amount of loss.

The Company is still in the process of finalising the unaudited consolidated Interim Results. The information contained in this announcement is only based on the Board's preliminary assessment of the unaudited consolidated management accounts of the Group and the information currently available which has not been audited by the auditors of the Company or reviewed by the audit committee of the Board maybe subject to adjustment. Shareholders and potential investors are advised to read carefully the Interim Results announcement for the Period which is expected to be published on 13 February 2026.
