PROFIT WARNING

This announcement is made by Web3 Meta Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on GEM of The Stock Exchange of Hong Kong Limited (the "GEM Listing Rules") and the Inside Information Provisions (as defined under the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board (the "Board") of directors (the "Directors") of the Company wishes to inform the shareholders of the Company (the "Shareholders") and potential investors that based on the preliminary assessment of the unaudited consolidated financial results (the "Annual Results") of the Group for the year ended 30 June 2025 (the "FY2025") and the latest information currently available to the Board, the Group is expected to record a loss attributable to owners of the Company ranging from approximately HK$19 million to HK$21 million for the year ended 30 June 2025, as compared to a profit attributable to owners of the Company of approximately HK$18 million for the year ended 30 June 2024 (the "FY2024").

The aforesaid expected significant decrease from a profit in FY2024 to a loss in FY2025 attributable to owners of the Company for FY2025 as compared to FY2024 was mainly attributable to the fact that during FY2025, the Group increased its provision for credit loss on other receivables and prepayments in view of the current changes in overall market risks, thereby resulting in an increase in its losses.

The Company is still in the process of finalising the unaudited consolidated Annual Results. The information contained in this announcement is only based on the Board's preliminary assessment of the unaudited consolidated management accounts of the Group and the information currently available which has not been audited by the auditors of the Company or reviewed by the audit committee of the Board. Shareholders and potential investors are advised to read carefully the Annual Results announcement for FY2025 which is expected to be published on 26 September 2025.
