PROFIT WARNING

This announcement is made by Million Stars Holdings Limited (the “ Company ”, together with its subsidiaries, the “ Group ”) pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on GEM of The Stock Exchange of Hong Kong Limited (the “ GEM Listing Rules ”) and the Inside Information Provisions (as defined under the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board (the “ Board ”) of directors (the “ Directors ”) of the Company wishes to inform the shareholders of the Company (the “ Shareholders ”) and potential investors that based on the preliminary review of the unaudited financial results of the Group for the three months ended 30 September 2018 (the “ First Quarter Results ”), the Group is expected to record a loss attributable to owners of the Company of approximately HK$3 million (the “ Expected Loss ”) as compared to a profit attributable to owners of the Company of approximately HK$10 million for the three months ended 30 September 2017. Based on the information available, the Expected Loss was mainly attributable to:

• (1) the narrow profit margin of the provision of internet advertising agency services; and

• (2) a decrease in revenue and net profit arising from mobile payment technical support services.

The Company is still in the process of finalising the First Quarter Results. The information contained in this announcement is only based on the Board’s preliminary assessment of the unaudited consolidated management accounts of the Group and the information currently available which has not been audited by the auditors of the Company or reviewed by the audit committee of the Board. Shareholders and potential investors are advised to read carefully the First Quarter Results which is expected to be published on or around 12 November 2018.
